Please read these Terms of Service (“Terms”) carefully before using the website and services operated by Kusog AI (“us,” “we,” or “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Services Provided

Kusog AI provides professional services including, but not limited to:

  • AI Consulting and Architecture: Advisory services for the design and implementation of AI systems.
  • AI Platform Development: Development, deployment, and management of specialized AI software and infrastructure.
  • Software Access: Access to proprietary tools and applications (e.g., aiAgent, MyVoiceWriter) under separate licensing agreements.

2. Intellectual Property (IP) and Content Ownership

A. Our Content

The Services and their original content, features, and functionality (excluding Content provided by users) are and will remain the exclusive property of Kusog AI and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Kusog AI.

B. Client Content and Input/Output Data

For all custom development and consulting projects, the following applies:

  • Client Data/Input: The client retains all ownership and intellectual property rights in and to the data, content, and files provided to Kusog AI (“Input Data”).
  • AI Output/Work Product: Unless otherwise specified in a separate Master Service Agreement (MSA) or Statement of Work (SOW), all intellectual property rights in the final code, reports, generated text, data, and models created by Kusog AI for the client (“Output Data” or “Work Product”) shall transfer exclusively to the Client upon final payment.

3. User Accounts

When you create an account with us, you guarantee that you are above the age of 18, and that the information you provide us is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account on the Service.

You are responsible for maintaining the confidentiality of your account and password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or notify us via email.

5. Limitation of Liability

In no event shall Kusog AI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Service;
  • Any unauthorized access to or use of our servers and/or any personal information stored therein;
  • Any conduct or content of any third party on the Service;
  • The deletion of content or data maintained on the Service.

6. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your State, e.g., Nevada], United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

7. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
